As a company limited by guarantee, Allchurches Trust Limited (ATL) has members (up to 50) who act as guarantors. Members usually serve a maximum of two five-year terms.
Membership is a common governance model for charities and brings wide-ranging benefits including enhancing governance and accountability and providing a greater appreciation of the needs of beneficiaries. They influence the way ATL is run by voting at annual general meetings including on the election of trustees and on any changes to the ATL’s articles of association. They are also responsible for receiving and adopting the report and accounts and voting on the appointment, reappointment or removal of external auditors.
As with the trustees, members are required to exercise their powers in the best interests of ATL and the pursuit of its charitable purposes. ATL’s trustees are accountable to the members.
